Evernorth Goes Public With 473 Million XRP and $300 Million in Cash
Evernorth Holdings has completed its business combination with Armada Acquisition Corp. II, entering public markets with approximately 473 million XRP and $300 million in gross cash proceeds. The company announced the completion on October 9, 2026, marking a major step in its plan to build a publicly traded treasury focused on XRP and the broader XRP Ledger ecosystem.
Evernorth shares are expected to begin trading on the Nasdaq Stock Market under the ticker XRPN on October 12. The listing will give stock market investors another way to gain exposure to XRP through shares in a company holding the digital asset, rather than buying and managing XRP directly.
The company describes itself as the largest publicly traded pure-play XRP treasury. Its strategy centers on holding XRP while deploying capital across businesses and financial activities connected to the XRP economy. The company’s actual performance will depend on its ability to manage its assets, execute its investment plans and respond to changing digital asset market conditions.
Evernorth’s XRP Holdings and Public-Market Strategy
At the close of the transaction, Evernorth held approximately 473 million XRP and secured around $300 million in gross cash proceeds before transaction expenses. The XRP holdings include contributions made by investors as part of the transaction, while the cash proceeds provide a separate pool of capital for the company’s operations and investment strategy. <Cite refs={[“turn541992search1”]}/>
The company’s investor group includes Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken and GSR. Their participation connects Evernorth with established participants in the digital asset and financial services industries, although investment participation alone does not guarantee future returns or continued support.
Evernorth founder and chief executive Asheesh Birla said the company aims to build an actively managed XRP treasury that supports ecosystem growth while meeting the transparency and governance expectations of public markets. He also outlined plans to deploy capital into infrastructure and use cases intended to expand XRP’s utility.
A central performance goal is to increase XRP per share over time. This measure focuses on the amount of XRP represented by each share, rather than simply tracking the company’s total token balance. Achieving that goal will depend on the company’s capital allocation decisions, operating costs, share count and results from its investment activities.
Evernorth also intends to pursue strategies across the XRP economy, which could include activities linked to institutional finance, on-chain credit markets and tokenized assets. These areas may create opportunities for companies providing blockchain-based settlement and financial infrastructure, but the announcement does not guarantee that any particular strategy will generate profits.
What XRPN Means for XRP Investors
The Nasdaq listing is intended to offer investors a publicly traded vehicle tied to XRP. Some investors may prefer a stock market instrument because it can be held through a conventional brokerage account, subject to availability and brokerage rules, rather than requiring direct custody of cryptocurrency.
However, XRPN shares and XRP are different assets. The stock price will reflect not only the market value of the company’s XRP holdings but also its cash, liabilities, expenses, management decisions, share structure and investors’ assessment of its strategy. As a result, the share price may not move in line with XRP on a one-for-one basis.
The $300 million in gross cash proceeds should also not be confused with the company’s net cash available for investment. Transaction expenses and other obligations can reduce the amount remaining after closing. Investors will need to review the company’s financial disclosures to understand its capital position and how funds are allocated.
Evernorth has said it plans to provide quarterly updates under Nasdaq reporting requirements. Those disclosures should give shareholders more information about its treasury holdings, financial results and progress toward its stated objectives, subject to the scope and timing of required filings.
The company nevertheless faces material risks. XRP’s price volatility could significantly affect the value of its treasury, while regulatory developments, competition and the performance of any yield-generating or ecosystem investments could influence results. Public-market access does not remove the underlying risks of holding a concentrated digital asset treasury.
Evernorth’s debut on October 12 will put its strategy under closer public scrutiny. The key measures to watch will include changes in XRP per share, net asset value relative to the stock price, cash deployment and the company’s ability to turn its XRP-focused strategy into sustainable shareholder value.
